Conoco Inc.
As of August 30, 2002, Conoco, Inc. was acquired by ConocoPhillips. They combined their respective businesses by merging with and into separate acquisition subsidiaries of ConocoPhillips. As a result of the mergers, each of Phillips and Conoco became a subsidiary of ConocoPhillips. In the mergers, each share of Conoco common stock, par value $.01 per share, has been converted into 0.4677 shares of ConocoPhillips common stock, par value $.01 per share, and each share of Phillips common stock, par value $1.25 per share, has been converted into one share of ConocoPhillips Common Stock. Conoco, Inc. operates as an integrated global energy company. Its upstream segment's activities include exploring for, developing, producing, and selling crude oil, natural gas, and natural gas liquids; and the operations of Syncrude Canada Ltd., a joint venture created by a number of energy companies for the purpose of mining shallow deposits of oil sands, extracting the bitumen, and upgrading it into a light sweet crude oil called Syncrude Sweet Blend. The company's downstream segment's activities include refining crude oil and other feedstocks into petroleum products; buying and selling crude oil and refined products; and transporting, distributing, and marketing petroleum products. The company's emerging businesses segment offers carbon fibers; natural gas refining, including gas-to-liquids; and international power. In June 2002, Conoco agreed to sell some of its U.K. interests in the Atlantic Ocean and the North Sea to OMV UK Limited for $28 million. In the same month, Conoco and Aker Kvaerner established a new company, DeepWater Composites AS, which would manufacture and sell composite products for use in the deepwater exploration and field development segments. Conoco was founded in 1875.
