Ventas Realty, Limited Partnership

Ventas Realty, Limited Partnership, together with Ventas Finance I, LLC, conducts substantially all of the business of Ventas, Inc. Ventas. Ventas owns, leases, and finances healthcare facilities. As of November 29, 2002, its properties included 220 skilled nursing facilities in 32 states, 44 hospitals in 20 states, and nine other healthcare and senior housing facilities. Ventas also had investments in 25 healthcare and senior housing facilities located in Ohio and Maryland. As of the above date, Ventas Finance I owned 40 skilled nursing facilities; and Ventas and Ventas Realty owned all of its other properties. The company elected to qualify as a REIT for federal income tax purposes, pursuant to which it was considered to be a former C corporation. Ventas Realty, Limited Partnership operates as a subsidiary of Ventas, Inc.
