American Rivers Oil Co.

In July 1999, American Rivers Oil Company, a Wyoming corporation, entered into a merger agreement with Alliance Resources Plc, pursuant to which the company reincorporated into a Delaware corporation by merging into a newly formed subsidiary. The new company formed by the merger, AROC, Inc. acquired all of the shares of Alliance. American Rivers Oil Company was engaged in the exploration, development, and production of oil and natural gas in the continental United States, as of July 23, 1999. Many of its properties were located in Colorado; and along the Ohio River in west Virginia, Kentucky, and Indiana.
