Centerior Energy Corp.
As of November 08, 1997, Centerior Energy Corp. was acquired by Ohio Edison Co. As a result of the merger, FirstEnergy Corp. was formed. In addition, as a result of the merger, the former common shareholders of OE and Centerior owned all of the outstanding shares of FirstEnergy Common Stock. The merger was accounted for as a purchase of Centerior's net assets, through the conversion of each outstanding Centerior Common Stock share into 0.525 of a share of FirstEnergy Common Stock. Prior to the merger, Centerior Energy Corporation, a public utility holding company, was engaged in the generation, purchase, transmission, distribution, and sale of electric energy in northeastern Ohio, including the City of Cleveland and the City of Toledo. The company operated through its subsidiaries, The Cleveland Electric Illuminating Company and The Toledo Edison Company.
